3. Services and Engagement

3.1 Service Agreements

Specific services are governed by separate service agreements, statements of work, or contracts that detail project scope, deliverables, timelines, and fees. In case of conflict between these Terms and a specific service agreement, the service agreement shall prevail.

3.2 Client Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information necessary for service delivery
• Respond to communications and requests in a timely manner
• Make payments according to agreed terms
• Provide necessary access to systems, data, and personnel
• Review and provide feedback on deliverables within agreed timeframes

3.3 Acceptance of Deliverables

Unless otherwise specified in a service agreement, deliverables shall be deemed accepted if you do not provide written objection within ten (10) business days of delivery.

4. Intellectual Property

4.1 Our Property

All content on our website, including text, graphics, logos, and software, is the property of East Wolf Interactive SRL and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written consent.

4.2 Client Deliverables

Unless otherwise agreed in writing, upon full payment, clients receive ownership of custom software and deliverables created specifically for their project. We retain ownership of pre-existing tools, frameworks, and reusable components.

4.3 Third-Party Components

Our solutions may incorporate open-source or third-party components subject to their respective licenses. We will inform you of any such components and their license terms.

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement. This includes business strategies, technical specifications, financial information, and any information marked as confidential.

Confidentiality obligations do not apply to information that is publicly available, independently developed, or rightfully obtained from third parties.

6. Payment Terms

Payment terms are specified in individual service agreements. Unless otherwise stated:

• Invoices are payable within thirty (30) days of receipt
• Late payments may incur interest at 1.5% per month
• We reserve the right to suspend services for overdue accounts
• All fees are exclusive of applicable taxes unless stated otherwise

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that our services will be performed in a professional manner consistent with industry standards. For software deliverables, we provide a warranty period of ninety (90) days during which we will correct material defects at no additional cost.

7.2 Disclaimer

EXCEPT AS EXPRESSLY STATED HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EAST WOLF INTERACTIVE SRL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claims arising from these Terms or our services shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless East Wolf Interactive SRL, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your violation of these Terms
• Your use of our services
• Your violation of any third-party rights
• Any content or data you provide to us

10. Termination

Either party may terminate a service engagement as specified in the applicable service agreement. We reserve the right to suspend or terminate access to our website at any time for violations of these Terms.

Upon termination, all provisions that by their nature should survive shall remain in effect, including intellectual property rights, confidentiality, warranties, disclaimers, and limitation of liability.

11. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of Romania. Any disputes arising from these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the competent courts of Bucharest, Romania.

12. Modifications

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.

13. General Provisions

• Entire Agreement: These Terms, together with any service agreements, constitute the entire agreement between the parties.
• Severability: If any provision is found unenforceable, the remaining provisions shall continue in full force.
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our written consent.
